2023 Power Play Rewards Program

1. PROMOTION DESCRIPTION: The Honeywell Power Play Promotion the (“Promotion”) begins on September 29, 2023 at 12:00 am EDT and ends on December 31, 2022, at 11:59 pm EST (the “Promotion Period”). The sponsor of this Promotion is Honeywell International Inc. (the “Sponsor”). By participating in the Promotion, each Qualified Purchaser, as defined below, unconditionally accepts and agrees to comply with and abide by these Official Rules and the decisions of Sponsor, which shall be final and binding in all respects. Sponsor is responsible for the collection, submission or processing of entries and the overall administration of the Promotion. Qualified Purchasers should look solely to Sponsor with any questions, comments or problems related to the Sweepstakes. Sponsor may be reached by email at ryan.basile@honeywell.com during the Promotion Period.

2. ELIGIBILITY: The Promotion is open only to BMS Distributors located in the 50 United States, Washington D.C., and Canada. (“Qualified Purchasers”). Void in Puerto Rico and where prohibited by law.

3. PRIZES: Grand Prizes: Sea-Doo Spark 3-up Jet Ski with trailer (ARV $7499 USD); Polaris Sportsman 450 H.O ATV with trailer (ARV $7997 USD); or two eco-friendly Trek FX+2 electrics bikes (ARV $5000 USD). Only one prize will be awarded to a single Qualified Purchaser. Prizes cannot be transferred, redeemed for cash, or substituted by winner. Sponsor reserves the right in its sole and absolute discretion to award a substitute prize of equal or greater value if a prize described in these Official Rules is unavailable or cannot be awarded, in whole or in part, for any reason. The ARV of the prize represents Sponsor's good faith determination. That determination is final and binding and cannot be appealed. If the actual value of the prize turns out to be less than the stated ARV, the difference will not be awarded in cash. Sponsor makes no representation or warranty concerning the appearance, safety or performance of any prize awarded. Restrictions, conditions, and limitations may apply. Sponsor will not replace any lost or stolen prize items. Prize may not be assigned, transferred, changed, substituted or redeemed for cash, except at Sponsor’s sole discretion. Prize is awarded “as is” with no warranty or guarantee, either express or implied by Sponsor. Winners are responsible for all federal, state and local taxes and any other costs and expenses not listed herein as being provided

4. HOW TO ENTER: Enter the Promotion by ordering Building System Management Products (the “Eligible Products”) during the Promotion Period through the Buildings.Honeywell.com website (“Qualifying Location”). A Qualified Purchaser must maintain average days late of less than or equal to zero, achieve greater than or equal to 1% in year-over-year (“YoY”) monthly growth from 12:00 am EDT on October 1, 2023 through 11:59pm EST on December 31, 2023, and purchase a minimum of $125,000 in Building Systems Management Products before 11:59 pm EDT on September 29, 2023. A Qualified Purchaser will receive 1 entry (each and “Entry”) for every point accumulated monthly during the Promotion Period, and points will be earned as follows: for a monthly YoY growth rate of 1%-9.99% between 12:00 am EDT on October 1, 2023 through 11:59pm EST on December 31, 2023, a Qualified Purchaser will receive 1point for each percentage of YoY growth, rounded to the nearest whole number, up to a maximum of 10 points; for a monthly YoY growth of 10-14.99%, a Qualified Purchaser will receive 2 points for each percentage of YoY growth between 10-14.99%, rounded to the nearest whole number, up to a maximum of 30 points; and for a monthly YoY growth of 15% or more, a Qualified Purchaser will receive 5 points for each percentage of YoY growth over 15%, rounded to the nearest whole number, with a cap of 100 points. Any attempt by Qualified Purchaser to obtain more than the stated number of entries by using multiple/different email addresses, identities, registrations, logins or any other methods, including, but not limited to, commercial contest/sweepstakes subscription notification and/or entering services, will void Qualified Purchaser's entries and that Qualified Purchaser may be disqualified. Final eligibility for the award of any prize is subject to eligibility verification as set forth below (each and “Entry”). All Entries must be posted by the end of the Promotion Period in order to participate. Sponsor's database clock will be the official timekeeper for this Sweepstakes. YoY growth calculations will be based on monthly 2022 purchases. No returns of any BMS Products will be accepted unless they are pursuant to a valid warranty claim. Any charges related to minimum purchase values will apply during Promotion period. Eligible Products are subject to availability. Purchases of Eligible Products via any channel other than the Qualifying Location are not eligible for this promotion

5. ODDS: The odds of winning depend on the number of eligible entries received.

6. WINNER SELECTION: On or about January 31, 2024, Sponsor will conduct a random drawing from among all eligible Entries received throughout the Promotion Period to select one (1) potential prize winners. The random drawing of winners represent final decisions by the Sponsor. The potential prize winner will be able to select as a prize: a Sea-Doo Spark 3-up Jet Ski with trailer; a Polaris Sportsman 450 H.O ATV with trailer; or two eco-friendly Trek FX+2 electrics bikes.

7. WINNER NOTIFICATION: The winners will be notified by email at the email address provided in the entry form within 45 days of the end of the Promotion Period. The email notification will provide additional information on how to claim the prize and will include certain declaration and releases. Sponsor is not responsible for any delay or failure to receive notification for any reason, including inactive email account(s), technical difficulties associated therewith, or winner’s failure to adequately monitor any email account. Sponsor is not responsible for any loss, damage, delay, or other similar circumstance caused by shipping service or mail carrier. Any notification or prize packages not responded to within 25 days from the time award notification was sent days or returned as undeliverable may result in prize forfeiture. No substitution or transfer of a prize is permitted except by Sponsor.

8. RIGHTS GRANTED BY YOU: By entering this Promotion, you understand that the Sponsor, anyone acting on behalf of the Sponsor, or its respective licensees, successors and assigns will have the right, where permitted by law and without any further notice, review, or consent, to print, publish, broadcast, distribute, and use, worldwide in any media now known or hereafter in perpetuity and throughout the world, your entry, including, without limitation, the entry and winner's name, portrait, picture, voice, likeness, image or statements about the giveaway, and biographical information as news, publicity or information and for trade, advertising, public relations and promotional purposes without any further compensation.

9. PRIVACY: Any personal information supplied by you will be subject to the privacy policy of Sponsor posted at https://www.honeywell. com/us/en/privacy-statement. By entering the Sweepstakes, you grant Sponsor permission to share your email address and any other personally identifiable information with its partners for the purpose of administration and prize fulfillment, including use in a publicly available winners’ list, and for purposes of receiving marketing materials from Sponsor and its partners.

10. LIMITATION OF LIABILITY: By entering, you agree to release and hold harmless the Sponsor and its subsidiaries, affiliates, advertising and promotion agencies, partners, representatives, agents, successors, assigns, employees, officers and directors from any liability, illness, injury, death, loss, litigation, claim or damage that may occur, directly or indirectly, whether caused by negligence or not, from (i) such Qualified Purchaser's participation in the Promotion and/or his/her acceptance, possession, use, or misuse of any prize or any portion thereof, (ii) technical failures of any kind, including but not limited to the malfunctioning of any computer, cable, network, hardware or software; (iii) the unavailability or inaccessibility of any transmissions or telephone or Internet service; (iv) unauthorized human intervention in any part of the entry process or the Promotion; (v) electronic or human error which may occur in the administration of the Promotion or the processing of entries.

11. GOVERNING LAW: This Promotion is governed by the laws of The United States of America and the State of New York without respect to conflict of law doctrines.

12. WAIVER OF JURY TRIAL AND CLASS ACTIONS: As a condition of participating in this Promotion, you agree TO EXPRESSLY WAIVE ANY RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION DIRECTLY OR INDIRECTLY RELATED TO THE PROMOTION.

13. ARBITRATION. You agree that any dispute arising out of or relating to the Promotion will be settled by arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules in a neutral venue and by a neutral arbitrator. The arbitrator shall permit dispositive motions and issue a written decision sufficient to explain the essential findings and conclusions and may award damages. Any award rendered by the arbitrator will be final, and judgment may be entered upon it in accordance with applicable law in any court having jurisdiction thereof.
